This Non-Disclosure Agreement ("Agreement") is entered into as of the date of purchase of the ACA online course ("Effective Date") by and between ACA Training Ground ("Disclosing Party") and you, the course participant ("Receiving Party").
1. Purpose
The purpose of this Agreement is to protect the proprietary and confidential information that may be disclosed by the Disclosing Party to the Receiving Party in connection with the ACA online course ("Course").
2. Definition of Confidential Information
For purposes of this Agreement, "Confidential Information" shall include all information or material that has or could have commercial value or other utility in the business in which Disclosing Party is engaged, including but not limited to, course materials, content, videos, documents, proprietary techniques, trade secrets, and any other information related to the Course.
3. Obligations of Receiving Party
The Receiving Party agrees to: (a) Not disclose any Confidential Information to any third party without the prior written consent of the Disclosing Party.(c) Not use any Confidential Information for any purpose other than participating in the Course.(d) Not to reproduce, duplicate, or distribute any Confidential Information for resale, or giving access to course materials to anyone that didn’t already have paid access to view said materials.(d) Notify the Disclosing Party promptly of any unauthorized use or disclosure of the Confidential Information.
4. Exclusions from Confidential Information
Confidential Information does not include information that:
(a) is or becomes publicly known through no breach of this Agreement by the Receiving Party;(b) was rightfully in the Receiving Party's possession before receipt from the Disclosing Party;(c) is received by the Receiving Party from a third party without breach of any obligation of confidentiality; or(d) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.
5. No License
Nothing in this Agreement shall be construed as granting any rights under any patent, copyright, or other intellectual property right of the Disclosing Party, nor shall this Agreement grant the Receiving Party any rights in or to the Confidential Information, except as expressly set forth herein.
6. Term
This Agreement shall remain in effect for the duration of the Course and for a period of three (3) years thereafter.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of South Carolina, without regard to its conflicts of law principles.
8. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.
9. Amendments
This Agreement may not be amended or modified except by a written agreement signed by both parties.
10. No Waiver
No waiver of any term, provision, or condition of this Agreement, whether by conduct or otherwise, in any one or more instances, shall be deemed to be, or construed as, a further or continuing waiver of any such term, provision, or condition of this Agreement.
